These terms govern participation in the Orbance agency program. By registering as an agency, you enter into an agreement to participate in the program.
1. Scope and contracting parties
These terms apply to participation in the Orbance agency program (the “Program”). The contracting parties are the operator of the Orbance platform (“Orbance”) and the registering agency (“Agency”).
The Program is intended for businesses and independent service providers who acquire, manage, or refer Orbance clients. Only one agency registration per user account is permitted.
2. Registration and agency account
A valid Orbance user account is required to participate. During registration you provide accurate information for agency name, contact email, and referral slug.
By submitting registration and actively confirming these terms, you apply for admission to the Program. The agency remains pending until Orbance activates it in the platform portal. Orbance may reject admission without stating reasons.
Acceptance is logged with timestamp, terms version, and technical metadata (IP address, user agent).
3. Clients, referrals, and billing
Clients are independent Orbance organizations assigned to your agency, either via referral links (?ref=…) with the client’s explicit consent or by creation through the agency portal (managed).
Client platform subscriptions are billed via your agency’s Stripe customer when such an assignment exists. The agency bills end clients externally and is solely responsible for contractual and payment relationships with them.
If a client administrator removes the agency assignment, billing via the agency ends for future purchases; existing obligations remain unaffected.
4. Commissions and tiers
You earn commission on assigned, paying clients, with no time limit. Rates by tier: Base 10%, Silver 15%, Gold 20% on net MRR.
Silver and Gold require net annual revenue, the sum of paid platform subscriptions (excluding VAT) from linked clients, rolling over 12 months: at least €1,500 (Silver) or €5,000 (Gold). Thresholds are net, same as commission calculation.
On January 1 we review tier requirements. If thresholds are missed, your tier is downgraded, without grandfathering.
5. Payouts
Commission payouts are made exclusively via Stripe Connect (Orbance Payments). Without a completed, payout-capable Connect account you can manage clients but will not receive commission payouts.
Before each payout, the agency submits an invoice or credit note for approved commissions in the agency portal. Payouts are made only after Orbance review and approval, typically in a monthly batch.
Orbance may withhold or block commissions if there are valid objections, chargebacks, suspected fraud, or violations of these terms.
6. Agency obligations
The agency must inform clients transparently about the agency’s role, any billing via the agency, and data sharing in the context of client management.
Referral and marketing activities must comply with applicable law, competition law, and data protection rules. Misleading advertising or unauthorized use of trademarks is prohibited.
Agency portal credentials must be kept confidential. The agency is liable for actions by authorized users of the agency account.
7. Suspension and termination
The agency may terminate participation at any time by deactivating the agency or contacting Orbance. Orbance may suspend participation without notice for serious violations, abuse, or payment default.
Upon termination, commission claims for completed billing periods remain, unless blocking reasons apply.
8. Changes to the terms
Orbance may amend these terms with future effect. Material changes will be announced in the agency portal. Continued participation may require renewed acceptance.
The accepted version is stored in your agency profile.
9. Final provisions
Orbance’s terms of use and privacy notice apply additionally, unless expressly overridden by these program terms.
German law applies. The place of jurisdiction is, where legally permitted, Orbance’s registered seat.
